1. Acceptance of Terms
By accessing or using ImmaWin ("the Platform"), a product of Very Cool Tech LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Platform. We reserve the right to update these terms at any time by posting the revised version on this page. Your continued use of the Platform after changes are posted constitutes acceptance of the updated terms. We encourage you to review these terms periodically.
2. Eligibility
You must be at least 18 years of age (or the age of majority in your jurisdiction) to use ImmaWin. By creating an account, you represent and warrant that you meet this age requirement. You are responsible for ensuring that your use of the Platform complies with all applicable laws and regulations in your jurisdiction, including any laws related to sports pools, contests, or gaming.
3. Account Registration
You must create an account to access most features of ImmaWin. You may register using an email address and password, or through Google Sign-In. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You agree to provide accurate, current, and complete information during registration and to update it as necessary. You must notify us immediately of any unauthorized use of your account.
4. Platform Description
ImmaWin is a sports bracket pool platform that allows users to create and join bracket-style prediction competitions for playoff tournaments across multiple sports. The Platform features AI-powered companion personas that generate commentary and reactions, a virtual reputation currency (Stars), and social chat functionality. ImmaWin is a scorekeeping and entertainment platform. ImmaWin does not collect, hold, facilitate, or distribute entry fees, wagers, or prize money between users. Any monetary arrangements between pool participants are made entirely outside of the Platform and at the sole discretion and responsibility of those participants.
5. AI-Generated Content
ImmaWin uses artificial intelligence technology (provided by Anthropic) to generate persona-driven commentary, bracket pick reactions, and daily pool updates. All AI-generated content is clearly associated with an AI persona character and is provided for entertainment purposes only. AI-generated commentary may contain inaccuracies, subjective opinions, or errors. You acknowledge that AI-generated content does not constitute advice of any kind and should not be relied upon for making decisions. You are solely responsible for your own bracket picks and predictions. This application includes technology for which patent protection is pending with the United States Patent and Trademark Office.
6. Stars and Reputation System
Stars are a virtual reputation metric earned by participating in completed bracket pools on ImmaWin. Stars have no monetary value whatsoever. Stars cannot be purchased with real currency, cashed out, traded, transferred, exchanged, or redeemed for money, goods, or services. Stars represent a limited, non-exclusive, non-transferable license to display a reputation score within the Platform. We reserve the right to modify, reset, or discontinue the Stars system at any time without liability. Stars do not constitute property and confer no rights or entitlements beyond display within the Platform.
7. All-Star Pool Purchases
All-Star pool upgrades are optional one-time per-pool purchases that unlock premium features including additional AI engagement, higher star multipliers, and increased member capacity. All purchases are processed by Stripe, Inc. and are subject to Stripe's terms of service. All-Star pool purchases are non-refundable. By making a purchase, you acknowledge that you have reviewed the features included and agree to the non-refundable nature of the upgrade. We do not store your payment card details; all payment processing is handled directly by Stripe.
8. Pool Rules and Conduct
Pool creators configure the rules for their pools, including scoring type, payout structure, and entry limits. All participants must abide by the rules of any pool they join. The following conduct is prohibited and may result in immediate account suspension or termination: collusion or coordination between participants to manipulate outcomes; creating multiple accounts to gain unfair advantage; submitting picks through automated means; harassment, hate speech, or abusive language in pool chat; impersonation of other users or AI personas; any attempt to exploit, hack, or interfere with the Platform's operation.
9. User Content
You retain ownership of content you submit to ImmaWin, including chat messages, display names, and uploaded avatars. By posting content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content in connection with operating and promoting the Platform. You are solely responsible for your content and must not post anything that is illegal, defamatory, obscene, threatening, or that infringes on the rights of others. We reserve the right to remove any content at our discretion.
10. Intellectual Property
All content, features, functionality, design, and technology of ImmaWin are owned by Very Cool Tech LLC and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. The ImmaWin name, logo, AI persona characters, and associated designs are trademarks of Very Cool Tech LLC. You may not reproduce, distribute, modify, create derivative works from, reverse engineer, or otherwise exploit any part of the Platform without our prior written permission.
11. Third-Party Services
ImmaWin integrates with third-party services including Google (for authentication), Stripe (for payment processing), and Anthropic (for AI content generation). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services. Sports data displayed on the Platform is sourced from third-party providers and may be subject to delays or inaccuracies.
12. Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not guarantee the accuracy of any sports data, scores, brackets, or AI-generated content. We are not responsible for any losses, disputes, or damages arising from pool participation, interactions between users, or reliance on Platform content.
13. Limitation of Liability
To the fullest extent permitted by applicable law, Very Cool Tech LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising from your use of or inability to use the Platform. Our total aggregate liability to you for all claims arising from or related to these Terms or your use of the Platform shall not exceed the amounts you have paid to us in the twelve (12) months preceding the claim.
14. Indemnification
You agree to indemnify, defend, and hold harmless Very Cool Tech LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from your use of the Platform, your violation of these Terms, your content, or your violation of any rights of a third party.
15. Termination
We may suspend or terminate your account at any time for violation of these Terms, suspected fraudulent activity, or for any other reason at our sole discretion, with or without notice. You may request deletion of your account by contacting us at support@immawin.com. Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination shall survive, including but not limited to intellectual property, limitation of liability, indemnification, and governing law.
16. Governing Law and Dispute Resolution
These Terms of Service are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict of law principles. Any dispute arising from these Terms or your use of ImmaWin shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA), conducted in the State of Florida. You agree to waive any right to a jury trial or to participate in a class action.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.
